Welcome to POHO Labs (the "Platform" or "Service"), owned and operated by PH Online Ventures Pvt Ltd ("Company", "we", "us", or "our"). These Terms of Service ("Terms") constitute a legally binding agreement between PH Online Ventures Pvt Ltd and the business entity or individual ("Customer", "Tenant", "User", or "you") accessing or using our websites, software, web chat widgets, APIs, and associated customer engagement platforms.
By registering for an account, accessing the Platform, or integrating POHO services into your workflows, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
1. Account Registration & Tenant Workspaces
1.1. Eligibility: You must be at least 18 years old or the legal age of majority in your jurisdiction, and authorized to act on behalf of your business entity to register for an account.
1.2. Tenant Workspace Security: You are responsible for maintaining the confidentiality of your workspace login credentials, API keys, and access tokens. You agree to immediately notify us of any unauthorized use or security breach at support@poholabs.com.
1.3. Accuracy of Information: You agree to provide current, accurate, and complete company details and billing details during onboarding.
2. Scope of Services
POHO provides a modern customer communication management platform enabling businesses to engage customers across live web chat, email, and digital customer channels. Services include dynamic conversation routing, canned replies, internal team notes, agent collision detection, and automated messaging workflows.
3. Acceptable Use & Messaging Conduct
3.1. Compliance with Messaging Policies: You agree to strictly adhere to all applicable laws governing electronic communications, consumer protection, telecommunications, and third-party channel policies.
3.2. Prohibited Activities: You shall NOT use POHO to:
- Send unsolicited commercial messages (Spam), deceptive mass broadcasts, or unauthorized promotional material;
- Distribute content that is illegal, defamatory, harassing, obscene, fraudulent, or infringes third-party intellectual property;
- Harvest or collect end-user personal data without explicit, verifiable consent;
- Bypass rate limits, attempt unauthorized access, or reverse-engineer the Platform source code.
3.3. Suspension for Abuse: Violation of acceptable use rules will result in immediate suspension or termination of your tenant workspace without prior notice or refund.
4. Billing & Subscriptions
4.1. Subscription Fees: SaaS platform access is billed on a recurring subscription basis (monthly or annually) according to your selected plan. Subscriptions automatically renew unless cancelled prior to the renewal date.
4.2. Usage Fees: Any metered communication delivery or third-party usage fees are auto-deducted from your tenant wallet balance based on published rate cards.
4.3. Taxes: All listed fees are exclusive of applicable taxes, which will be calculated and added to invoices based on your billing jurisdiction.
5. Third-Party Services & Channel Integrations
5.1. POHO integrates with third-party providers including email delivery gateways, payment processing services (Razorpay/Stripe), and cloud hosting infrastructure. Your usage of third-party features is subject to their respective service terms.
5.2. We are not responsible for service interruptions, rate limit restrictions, or service changes enforced independently by third-party platform providers.
6. Data Ownership & Privacy
6.1. Customer Data Ownership: You retain all right, title, and interest in and to your customer contact records, message transcripts, custom attributes, and enterprise data ("Tenant Data").
6.2. Data Processing Role: For the purposes of data protection and privacy regulations, you are the Data Controller/Fiduciary and POHO acts as the Data Processor.
7. Intellectual Property Rights
All title, copyrights, trade secrets, patents, logo marks, and proprietary technologies in the Platform remain the exclusive property of PH Online Ventures Pvt Ltd. No rights are granted to you other than the limited, non-exclusive license to access the Platform during your active subscription.
8. Limitation of Liability & Indemnification
8.1. Disclaimer: The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
8.2. Cap on Liability: To the maximum extent permitted by law, PH Online Ventures Pvt Ltd shall not be liable for any indirect, incidental, punitive, or consequential damages. Our aggregate liability shall not exceed the total amount paid by you to POHO in the three (3) months preceding the event giving rise to the claim.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any legal action, suit, or proceeding arising out of or relating to these Terms shall be instituted exclusively in the competent courts located in Tamil Nadu, India.
10. Modifications & Contact
We reserve the right to modify these Terms at any time. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
